This Terms applies to all quotations, orders, sample arrangements, and international trade cooperation.
1. Order Formation
An order shall be deemed valid only when the following conditions are met: mutual confirmation of quotation, signing of Proforma Invoice (PI) or contract, and receipt of agreed payment.
2. Payment Terms
Unless otherwise agreed in writing, the standard payment terms are 30% deposit before production and 70% balance before shipment. Accepted payment methods include T/T, L/C, Western Union, and PayPal for sample orders. Payment terms for long-term partners may be negotiated separately.
3. Lead Time
Lead time depends on order quantity, raw material availability, seasonal factors, and production scheduling. In case of delays caused by force majeure, the Company shall notify the customer in a timely manner but shall not be liable for indirect or consequential losses.
4. Force Majeure
Force majeure includes but is not limited to natural disasters, war, epidemic, port congestion, and government restrictions. During force majeure events, performance obligations shall be suspended or extended accordingly.
5. Intellectual Property Statement
All content displayed on the Company’s website, including images, videos, text, and product catalogs, is protected by intellectual property laws and shall not be copied, reproduced, or used for commercial purposes without written authorization. The intellectual property rights of OEM/ODM designs provided by customers shall belong to the customers.
6. Dispute Resolution
The parties shall first attempt to resolve disputes through friendly negotiation. If negotiation fails, disputes shall be submitted to arbitration institutions or competent courts in accordance with the relevant contract. The governing law shall be determined according to the contract agreement.
